These Terms of Service ("Terms") apply to the use of the QLS Facility Services LLC ("QLS," "we," "us," or "our") website and to general service information and inquiries presented through the website. Specific cleaning services are governed by the applicable Quote, Scope of Work, Commercial Cleaning Service Agreement, invoice, and any accepted written amendments.

1. Purpose of the QLS Website

The QLS website provides information about QLS Facility Services LLC and its commercial cleaning and facility services. Website information is general business information and does not, by itself, create a binding cleaning-service agreement.

2. Request a Free Quote

Submitting a Request a Free Quote form or otherwise contacting QLS is a request for information or proposed pricing. It does not guarantee acceptance of the work, reserve a service date or time, create a Service Agreement, or obligate either party to proceed. QLS may request additional information or a facility walkthrough before finalizing a quote.

3. Quotes

A QLS quote may identify the proposed scope of work, cleaning frequency, schedule or service window, estimated service time, pricing, add-on or specialty services, quote validity period, payment terms, and facility-specific requirements. Pricing may be based on client-provided information, a walkthrough or assessment, facility conditions, requested frequency, and proposed scope. Material changes may require a revised written quote.

4. Service Agreement

Recurring commercial cleaning services and other services when required by QLS are subject to an approved Commercial Cleaning Service Agreement and applicable Quote or Scope of Work. The Service Agreement may establish scope, frequency, schedule, pricing, invoice frequency, payment terms, facility access, client responsibilities, supplies and equipment, changes to scope, service concerns, term, termination requirements, insurance, and other service-specific conditions.

5. Controlling Service Documents

If general information on the QLS website conflicts with a written service document accepted by QLS and the client, the accepted service documents control according to their terms. An executed written amendment, the executed Commercial Cleaning Service Agreement, an accepted Quote or Scope of Work, and the applicable invoice should be read together. Website content does not modify an executed Service Agreement unless the parties expressly agree to a change in writing.

6. Scope of Services

QLS performs the cleaning services included in the agreed scope of work. Depending on the facility and agreement, services may include dusting, vacuuming, mopping, floor cleaning, restroom and sink cleaning, countertop cleaning, desk/table/chair cleaning, mirror or interior-glass cleaning, trash removal, high-touch-surface cleaning, cobweb removal, spot cleaning, deep cleaning, and approved specialty services. Services displayed on the website are not automatically included in every client's service plan.

7. Pricing and Additional Work

Website descriptions do not guarantee a particular price. Final pricing depends on the applicable quote, scope, facility, frequency, service requirements, and accepted agreement. Additional services, specialty equipment, unusual conditions, or material changes to approved work may require client approval and additional charges. Work outside the approved scope will be handled according to the applicable service documents.

8. Invoices and Payment

Invoices may identify service charges, service dates or periods, approved additional charges or discounts where applicable, taxes where required, total amount due, and payment terms. Payment is due according to the applicable Service Agreement, Quote, and invoice. Any late fee, finance charge, or other payment-related charge applies only when properly authorized by accepted written terms and permitted by applicable law.

9. Scheduling, Cancellation, and Termination

Service scheduling is subject to availability and the applicable Service Agreement or written service terms. Cancellation or rescheduling of an individual visit, inability to access the facility, and termination of recurring service will be handled according to the applicable Service Agreement, Quote, Scope of Work, or other accepted written terms. These Terms do not independently create an automatic-renewal obligation.

10. Client Responsibilities

Depending on the applicable agreement, clients may be responsible for providing reasonable access to the facility; providing required keys, codes, alarm instructions, or access procedures; identifying restricted areas; communicating special facility requirements; disclosing known hazards relevant to QLS's work; and securing valuables and confidential materials unless otherwise agreed in writing.

11. Service Concerns

Clients should notify QLS promptly regarding a service concern. QLS will review the concern and, when appropriate, arrange a reasonable correction within the agreed scope of work.

12. Insurance

QLS Facility Services LLC maintains General Liability Insurance. A Certificate of Insurance (COI) may be provided upon request or when required under an applicable client arrangement. The statement that QLS is insured does not expand coverage beyond the actual terms, limits, exclusions, and conditions of the applicable insurance policy.

13. Promotional Offers

QLS may occasionally advertise promotional offers. The currently advertised 30% Off Your First Month promotion is intended for eligible new recurring service agreements only. Eligibility, qualifying service, start date, discount calculation, availability, exclusions, and other applicable conditions may be confirmed in the Quote or Service Agreement before service begins. Submitting a quote request does not guarantee eligibility. Unless expressly stated otherwise in writing, promotional offers have no cash value, may not be combined with another offer, apply only to qualifying services identified by QLS, and do not modify future recurring pricing stated in the applicable Quote or Service Agreement. QLS may modify or discontinue a promotion prospectively, subject to any promotion already expressly accepted in a binding agreement and applicable law.

14. Website and Service Information

QLS aims to provide accurate and current information. Service descriptions, availability, service areas, promotions, and other website information may change. An error or outdated statement on the website does not automatically modify an executed Service Agreement.

15. Intellectual Property

The QLS name, website text, branding, graphics, and other original materials owned by QLS may not be copied, reproduced, or used for another business's commercial purposes without permission, except as permitted by law.

16. Acceptable Use

Users may not knowingly use the website for unlawful purposes, attempt unauthorized access to website systems, interfere with website operation, submit intentionally false or fraudulent quote requests, or misuse QLS contact forms or communications.

17. Third-Party Services and Links

QLS may use or link to third-party services. QLS does not control independent third-party websites and is not responsible for their separate terms, privacy practices, content, or availability.

18. No Guarantee From General Information

General website information does not guarantee a particular cleaning result, service availability, response time, schedule, or price unless expressly included in an applicable written agreement. Specific service obligations are determined by the applicable Quote, Scope of Work, Service Agreement, invoice, and approved written amendments.

19. Governing Law

These Terms are intended to be governed by the laws of the State of New York, to the extent applicable.

20. Changes to These Terms

QLS may update these Terms prospectively as its website and business practices change. Changes to these Terms do not retroactively modify an existing executed Service Agreement. The "Last Updated" date identifies the current version.
